Storyvine, Inc. Terms and Conditions of Service

1. Overview

Storyvine, Inc. (‘Storyvine’) provides its applications, products, and services under these terms and conditions of service.

By downloading or using any Service, each User (a) agrees to the Terms and Conditions, (b) represents that they are 18 years of age or older, and (c) if acting on behalf of a legal entity, that they are duly authorized to do so.

The Terms and Conditions include Storyvine’s Privacy Policy at Privacy Policy, which is incorporated by reference.

Storyvine may enter into work orders for one or more Storyvine Apps or the Storyvine Platform with its customers (each executed work order, a “Work Order”). In case of conflict between these Terms and Conditions and a Work Order, the executed Work Order governs.

Storyvine may revise these Terms and Conditions at any time at its discretion. Continued use of a Service after revision constitutes agreement to the updated Terms.

A. STORYVINE’S OBLIGATIONS

  1. Storyvine may modify, update, upgrade or add features, but has no obligation to do so.
  2. Storyvine has no obligation to continue making any Services available.
  3. Storyvine shall host the User's content on its systems while actively producing videos using that content.
  4. Storyvine shall host User’s data for a commercially reasonable duration but has no obligation to store completed videos longer than 90 days after account closure.
  5. Each Service is a video production platform and should not be used for video hosting or distribution.

B. YOUR OBLIGATIONS

  1. Users are responsible for their use of the Services by employees, agents, and permitted users.
  2. Users will use the Services solely for their business purposes and will not resell access.
  3. Users will not: a. modify, disassemble, reverse engineer any part of the Services; b. use content that violates legal rights; c. film videos in dangerous or illegal situations; d. use Services to create illicit content.
  4. Users may not use Services in a manner that competes with Storyvine or violates the Terms.
  5. Users upload content in compliance with YouTube’s Terms of Service and must not infringe on copyrights.
  6. Users agree to subscription terms, including automatic renewal and ability to cancel anytime.

C. CONFIDENTIALITY

  1. Both parties must protect Confidential Information obtained from the other.
  2. Confidential Information remains the property of the Disclosing Party and should only be used as permitted.
  3. Confidential Information excludes publicly available information.

D. OWNERSHIP AND LICENSES

  1. The Services are owned by Storyvine or its licensors.
  2. Nothing grants Users license or rights in the Services or Storyvine’s intellectual property.
  3. Users maintain rights to their content uploaded to Storyvine’s Systems.
  4. Users grant Storyvine a non-exclusive, royalty-free license to use completed videos for promoting Services.

E. DISCLAIMER OF WARRANTIES

The Services are provided “AS IS” with no warranties.

F. LIMITATION OF LIABILITY

Storyvine shall not be liable for any damages arising from User’s access or use of the Services.

G. INDEMNIFICATION

Users agree to indemnify and hold Storyvine harmless from claims arising from their use of the Services.

H. TERMINATION

  1. Storyvine may terminate access if Users fail to pay or violate the Terms.
  2. User’s access ends immediately upon termination.
  3. Users are responsible for payments due even after termination.

I. EFFECT OF TERMINATION

  1. Users will have access to their content until account closure.
  2. Post-termination, Storyvine will delete User content unless otherwise requested.

J. MISCELLANEOUS

  1. Rights and remedies are cumulative and no waiver of any provision shall be construed as a waiver of any other.
  2. Claims must be initiated within one year of arising.
  3. The Terms are governed by the laws of the State of Colorado.

User represents authority to enter into these Terms and Conditions.
